Terms of Service
These terms govern your use of SUBIDA's website and services. By engaging with us, you agree to these terms. Please read them carefully.
1. Services
SUBIDA provides digital marketing services including GEO (Generative Engine Optimisation), SEO, content marketing, citation building, review management, and web development for hospitality and lifestyle businesses.
The specific services, deliverables, timelines, and fees for each engagement are set out in a separate service agreement or proposal. These terms apply alongside any such agreement.
We reserve the right to modify or discontinue any service with reasonable notice. We will not make material changes to an active engagement without your consent.
2. Payments
Fees are as agreed in your service proposal or contract. Unless stated otherwise:
- Monthly retainers are invoiced at the start of each month
- One-time project fees are invoiced 50% upfront, 50% on completion
- Payment is due within 14 days of invoice
- Late payments may incur interest at 8% above the Bank of England base rate
- All fees are exclusive of VAT where applicable
We reserve the right to pause services if invoices remain unpaid after 30 days.
3. Intellectual Property
Your content: You retain ownership of all content, brand assets, and materials you provide to us. You grant us a licence to use these solely to provide the agreed services.
Work product: Upon full payment, you own the deliverables created specifically for you (content, copy, website code). Any proprietary frameworks, tools, templates, or methodologies we use remain our property.
Our website: All content on subida.global is our intellectual property. You may not reproduce, distribute, or use it without written permission.
4. Results & Liability
SEO and GEO results depend on many factors outside our control, including search engine algorithm changes, competitive landscapes, and your website's technical foundation. We make no guarantees of specific rankings, traffic levels, or revenue outcomes.
To the maximum extent permitted by law, our total liability to you for any claim arising from our services is limited to the fees paid in the three months preceding the claim.
We are not liable for indirect, consequential, or speculative losses including lost profits, lost data, or business interruption.
5. Your Obligations
For us to deliver effective services, you agree to:
- Provide accurate information about your business
- Give us timely access to necessary accounts and assets
- Respond to requests for feedback or approvals within agreed timeframes
- Not use our services for any unlawful purpose
- Ensure any content you provide does not infringe third-party rights
6. Termination
Either party may terminate a monthly retainer with 30 days' written notice. Project-based agreements may only be terminated per the conditions in the relevant proposal.
We may terminate immediately if you breach these terms, engage in conduct harmful to our reputation, or fail to pay outstanding invoices after reasonable notice.
On termination, you remain responsible for fees accrued up to the termination date.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This does not apply to information that is publicly available or required to be disclosed by law.
8. Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
We will always try to resolve disputes amicably before resorting to legal proceedings.
9. Changes to These Terms
We may update these terms from time to time. We will notify active clients of material changes. Continued use of our services after changes take effect constitutes acceptance.
